Liability Waiver & Assumption of Risk Agreement
Motion On 2 Inc. (“Motion On 2,” “the Studio,” “we,” “us,” or “our”) operates Motion On 2 Dance Studio at 14103 Burbank Blvd, Sherman Oaks, CA 91401, providing instruction and programming in Latin dance styles including Salsa On2, Salsa On1, Bachata (Sensual and Dominican), Latin Hustle, body movement and technique, socials, workshops, performance and competition teams, and special events (collectively, the “Services”).
This Liability Waiver and Assumption of Risk Agreement (the “Waiver”) is a binding legal contract between you (“Participant,” “you,” or “your”) and Motion On 2. By purchasing any pass, membership, class, private lesson, workshop, or event; by attending or participating in any class, social, or event; or by checking in to or otherwise using the Studio, you confirm that you have read, understood, and agreed to every term of this Waiver. If you do not agree to any term, do not purchase, attend, or participate.
If the Participant is under 18 years of age, a parent or legal guardian must complete and sign this Waiver on the minor’s behalf. By doing so, the parent or legal guardian agrees to be bound by every term of this Waiver on the minor’s behalf and personally, and to indemnify the Studio as provided below.
1. Acknowledgment of Inherent Risks
Dance instruction, practice, and social dancing are physical, athletic activities that carry inherent risks. These risks include, but are not limited to: slips, stumbles, and falls; sprains, strains, and tears to the ankles, knees, hips, shoulders, back, and neck; muscle and joint injuries; impact with other dancers, partners, instructors, mirrors, walls, floors, or equipment; dehydration, overheating, fatigue, and overexertion; aggravation of pre-existing conditions; and serious, permanent, or catastrophic injury, disability, or death. Risks may arise from your own actions or inactions, the actions or inactions of others (including dance partners, instructors, staff, and spectators), the physical condition of the floor and facility, or the inherent nature of close-contact partner dancing.
Classes may involve partner rotation, leads and follows, spins and turns, lifts or drops in certain advanced or performance contexts, and improvisation. You acknowledge that you may be paired with dancers of varying skill levels and that social dancing involves physical contact with other participants.
2. Assumption of Risk
YOU VOLUNTARILY CHOOSE TO PARTICIPATE IN THE SERVICES WITH FULL KNOWLEDGE OF THE INHERENT RISKS DESCRIBED ABOVE. YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL INJURIES, LOSSES, DAMAGES, AND CLAIMS — KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN — THAT YOU OR YOUR PROPERTY MAY SUSTAIN AS A RESULT OF YOUR PARTICIPATION. THIS ASSUMPTION OF RISK APPLIES TO YOU AND TO ANY MINOR ON WHOSE BEHALF YOU ACT.
3. Medical Representation & Fitness
You represent and warrant that you are physically fit and in a condition that allows you to safely participate in dance classes and events, and that you have no medical, physical, or psychological condition that would make such participation unsafe or inadvisable. You acknowledge that it is your responsibility to consult a physician before beginning any new physical activity. You agree to stop participating immediately and to notify Studio staff if you experience pain, dizziness, shortness of breath, or discomfort during any class or event.
4. Emergency Medical Treatment Authorization
In the event of injury or medical emergency during participation, you authorize Motion On 2 staff to summon emergency medical services and to administer or arrange such first aid or medical treatment as a reasonable person would consider necessary. You agree to be financially responsible for any costs incurred for such emergency services or treatment, and you release the Studio and its staff from liability for actions taken in good faith under this authorization.
5. Waiver, Release, and Indemnification
IN CONSIDERATION OF BEING PERMITTED TO PARTICIPATE IN THE SERVICES, YOU, ON BEHALF OF YOURSELF, YOUR HEIRS, ASSIGNS, EXECUTORS, AND PERSONAL REPRESENTATIVES, HEREBY VOLUNTARILY RELEASE, WAIVE, DISCHARGE, HOLD HARMLESS, AND COVENANT NOT TO SUE Motion On 2 Inc. and its owners, members, officers, directors, instructors, employees, contractors, volunteers, agents, landlords, and affiliates (collectively, the “Released Parties”) FROM ANY AND ALL CLAIMS, ACTIONS, SUITS, DEMANDS, LOSSES, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING ATTORNEY’S FEES) ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE SERVICES, INCLUDING ANY CLAIM RESULTING FROM THE ORDINARY NEGLIGENCE OF ANY OF THE RELEASED PARTIES.
YOU FURTHER AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE RELEASED PARTIES FROM ANY CLAIM, LOSS, OR DAMAGE BROUGHT BY OR ON BEHALF OF YOU OR ANY MINOR ON WHOSE BEHALF YOU ACT, INCLUDING CLAIMS BY FAMILY MEMBERS, ASSIGNS, OR THIRD PARTIES, EVEN IF CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OF A RELEASED PARTY. THIS WAIVER IS INTENDED TO BE AS BROAD AND INCLUSIVE AS PERMITTED UNDER THE LAWS OF THE STATE OF CALIFORNIA, AND DOES NOT WAIVE CLAIMS ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
6. Zero-Tolerance Policy: Harassment & Misconduct
Motion On 2 maintains a strict zero-tolerance policy against sexual harassment, sexual misconduct, harassment, discrimination, bullying, and physical or verbal abuse of any kind. Inappropriate touching, unwanted advances, persistent unwelcome attention, intimidation, and degrading or threatening behavior toward any participant, instructor, staff member, or guest are prohibited and may result in immediate removal from the Studio and from any class, social, team, or event without refund.
Partner dancing is built on consent and respect. You agree to respect the physical and personal boundaries of every dancer, to honor a partner’s right to decline a dance or a particular movement at any time and without explanation, and to conduct yourself in a manner that keeps the Studio welcoming and safe for everyone. If you experience or witness misconduct, you are encouraged to report it immediately to Studio staff or by emailing info@motionon2.com; the Studio will review and address reports in good faith and, to the extent possible, keep them confidential.
7. Studio Code of Conduct & Community Standards
You agree to follow all reasonable directions from instructors and staff, to arrive on time and prepared, to rotate partners as directed during group classes, and to treat fellow dancers, instructors, and staff with courtesy and respect at all times. Dancing while visibly intoxicated or under the influence of substances that impair your ability to participate safely is prohibited, and the Studio reserves the right to refuse entry or remove any person whose conduct it determines, in its sole discretion, to be unsafe, disruptive, or inconsistent with this Waiver.
8. Facility Rules, Safety & Personal Property
You agree to comply with all posted and communicated Studio rules, including rules regarding footwear, floor etiquette, and capacity. Dance sneakers or smooth-soled shoes are recommended; excessively grippy or marking soles may be restricted. You acknowledge that you are responsible for your personal belongings and that the Studio is not liable for any lost, stolen, or damaged property.
9. Photo/Video Release & Media Use
You grant Motion On 2 the irrevocable right and permission to photograph and/or record you, in whole or in part, in connection with classes, socials, performances, and events, and to use your name, image, likeness, voice, and recordings for promotional, marketing, educational, and commercial purposes, including but not limited to social media, the Studio website, advertising, newsletters, and print materials, without further compensation or notice to you. You release the Studio and its assigns from any claim relating to such use. If you do not wish to be photographed or recorded, you are responsible for notifying the photographer or instructor and, where feasible, stepping out of frame; the Studio will make reasonable efforts to accommodate such requests but cannot guarantee that you will not appear incidentally in group or event coverage.
10. Ownership of Materials & Intellectual Property
Choreography, curriculum, class sequences, instructional materials, branding, and other content created by Motion On 2 are the property of the Studio and protected by copyright and other intellectual-property laws. You may not record, reproduce, distribute, teach, or commercially exploit Studio materials without prior written permission.
11. Minors & Parental Consent
If the Participant is under 18, the parent or legal guardian signing this Waiver represents that they have the legal authority to do so, consents to the minor’s participation in the Services, assumes all risks on the minor’s behalf, agrees to be bound by every term of this Waiver, and agrees to indemnify and hold harmless the Released Parties from any claim brought by or on behalf of the minor, to the fullest extent permitted by law.
12. Payment, Passes, Memberships & Refunds
You acknowledge that passes, class bundles, and memberships are personal to you, non-transferable, and subject to the validity periods, expiration dates, and terms displayed at purchase. Promotional and “New Student” specials are limited to one purchase per client. Monthly memberships may be paused or canceled in accordance with Studio policy. Refunds, where offered, are issued at the sole discretion of the Studio in accordance with its published refund policy. Prices and terms are subject to change.
13. Agreement Duration & Modifications
This Waiver is continuous and remains in full effect for every Motion On 2 class, social, workshop, performance, event, and visit you attend after acceptance, without the need to sign again. Motion On 2 reserves the right to modify this Waiver at any time; continued participation after any modification constitutes acceptance of the modified terms. The most current version will be posted at motionon2.com/waiver.
14. Governing Law & Dispute Resolution
This Waiver is governed by and construed under the laws of the State of California, without regard to conflict-of-laws principles. You agree that any dispute arising out of or relating to this Waiver or your participation in the Services will be submitted to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, or to binding arbitration in Los Angeles County under the rules of a mutually agreed arbitrator, and you waive any objection to venue in those courts.
15. Severability
If any provision of this Waiver is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. The failure of the Studio to enforce any right or provision of this Waiver will not be considered a waiver of that right or provision.
16. Acknowledgment & Electronic Signature by Purchase
BY PURCHASING ANY PASS, MEMBERSHIP, CLASS, PRIVATE LESSON, WORKSHOP, OR EVENT FROM MOTION ON 2 INC., BY CHECKING IN TO A CLASS OR EVENT, OR BY ATTENDING OR PARTICIPATING IN ANY MOTION ON 2 ACTIVITY, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS WAIVER, FULLY UNDERSTAND IT, AND AGREE TO BE BOUND BY ALL OF ITS TERMS. THIS INCLUDES ACKNOWLEDGING THE INHERENT RISKS OF DANCE, ASSUMING RESPONSIBILITY FOR THOSE RISKS, RELEASING THE STUDIO FROM LIABILITY AS DESCRIBED ABOVE, AND GRANTING THE PHOTO/VIDEO RELEASE. YOUR ELECTRONIC OR PAYMENT-BASED ACCEPTANCE HAS THE SAME LEGAL EFFECT AS A HANDWRITTEN SIGNATURE.
